Terms of Service
1. The agreement
This is a binding agreement between you (or your company) and Beaver Wood Care Inc. (a BC, Canada corporation, "we" or "Operator"), the operator of Pitch2Retail. If you're signing on behalf of a company, you confirm you have authority to bind it.
2. The service
Pitch2Retail finds verified retail buyer contacts, generates personalized cold-outreach emails using AI, and sends them through your connected email account or sending domain. We provide the tools; you decide what gets sent.
3. Acceptable use
You agree NOT to use Pitch2Retail to:
- Send unsolicited emails violating CASL, CAN-SPAM, GDPR, or any applicable anti-spam law
- Send to recipients who have opted out (the platform enforces this; circumventing it = breach)
- Make medical, health, or therapeutic claims your product doesn't support (the compliance lint warns; ignoring high-severity warnings is on you)
- Scrape, resell, or redistribute the contact database
- Misrepresent your identity, brand, or origin in pitches
- Exceed your plan's documented limits via technical workarounds
4. Your responsibilities
- You must own the brand, products, and email domain you use with the service
- You're responsible for the deliverability reputation of your sending domain
- You're responsible for the accuracy of claims in your pitches
- You must keep your password and API keys secret
5. Subscription, billing, refunds
- 14-day free trial on paid plans. Card required, $0 charged for 14 days. After day 14, the card is auto-charged unless you cancel.
- Monthly plans: billed monthly. Cancel anytime — access continues to end of period. No prorated refunds for partial months.
- Annual plans: billed annually with 20% discount. 30-day money-back guarantee on annual plans. Refunds prorated for the unused period.
- Failed payment: we'll retry 3 times over 7 days. After that, account moves to Free tier; data is preserved.
6. Plan limits & cost ceiling
Each plan has a documented monthly pitch limit and Apollo credit budget. We also enforce an internal cost ceiling (=50% of plan price in infrastructure spend) as a safety net. Hitting the ceiling pauses outbound work for the rest of the billing cycle. Upgrade for more headroom.
7. Intellectual property
You own everything you put into Pitch2Retail (brand profile, products, campaigns, pitches). We own the platform, templates, lint rules, and intelligence agents. AI-generated pitch text is yours to use freely.
8. Cancellation & data
You can cancel anytime in Billing. Your data is preserved on the Free tier indefinitely. To permanently delete your account and all data, click "Delete account" in Settings. Deletions are processed within 30 days. Sub-processor logs (Stripe, Resend) follow their own retention.
9. Limitation of liability
To the fullest extent permitted by law, our total liability under this agreement is limited to the amount you paid us in the 12 months preceding the claim. We're not liable for indirect, incidental, or consequential damages (lost profits, lost data, loss of business).
The service is provided "as is" without warranties beyond what's required by law.
10. Indemnification
You agree to indemnify us against any third-party claims arising from your use of the service in violation of these terms — including unsolicited emails sent through our platform that violate anti-spam laws.
11. Termination
We may suspend or terminate your account if you violate these terms (especially section 3). For minor violations we'll give 7 days' notice. For severe violations (spam, fraud, abuse), termination is immediate.
12. Governing law
These terms are governed by the laws of British Columbia, Canada. Disputes are resolved in the courts of BC unless arbitration is mutually agreed.
13. Changes
We'll email account holders 14 days before any material change. Continued use = acceptance.
